What is a commercial influence contract?
Law No. 2023-451 of June 9, 2023 defined and regulated commercial influence activity in France for the first time.
Legal definition (Law of June 9, 2023).
Article 1 defines commercial influence as 'the activity whereby a person leverages their notoriety with their audience to communicate to the public, by electronic means, content aimed at promoting, directly or indirectly, goods, services or any cause in exchange for an economic benefit or benefit in kind.' This definition covers all forms of paid partnerships between creators and brands.
Mandatory written contract (€1,000 excl. VAT threshold since January 1, 2026).
Since January 1, 2026, a decree sets the threshold at €1,000 excl. VAT per year and per advertiser above which commercial influence contracts must be in writing. This threshold is assessed cumulatively: multiple services provided for the same advertiser whose annual total exceeds €1,000 excl. VAT must be formalized in a written contract.
The absence of a written contract above this threshold exposes parties to nullity and DGCCRF sanctions.
Mandatory clauses in an influencer contract.
The Law of June 9, 2023 and implementing decree specify the mandatory mentions.
Party identification.
The contract must identify the influencer, the brand (advertiser), and where applicable the agency or intermediary agent.
Nature of services.
The contract must precisely describe: content type, number of publications, platforms concerned, schedule and validation process.
Compensation and terms.
Fixed amount, variable compensation, benefits in kind, invoicing methods and payment deadlines must be clearly defined.
Intellectual property rights.
The contract must specify the intellectual property regime: retention of copyright, usage license, duration, territories, media. Assignment must comply with Article L.131-3 of the French Intellectual Property Code.
Duration and termination.
Contract duration, renewal conditions and termination methods. Exclusivity and non-compete clauses must be proportionate.
Transparency requirements (advertising).
Mandatory mention 'Advertising' or 'Commercial collaboration'. Non-compliance creates joint liability for the influencer, brand and agent (Law of June 9, 2023, Article 5).
Different types of influence contracts.
Commercial influence covers a variety of collaborations.
Brand-influencer partnership contract.
The most common form: payment for one or more promotional posts. The contract must specify the creative brief, platforms and reuse rights.
Ambassador contract.
Longer-term commitment (6 months to 2 years) with sector exclusivity. Image rights are specifically regulated.
Product placement contract.
Subject to advertising regulations and transparency obligations under the 2023 law.
Affiliate contract.
Performance-based compensation (sales commission). The contract must specify the rate, tracking method and payment deadlines.
Negotiating an influencer contract: the lawyer's role.
Negotiation requires deep knowledge of the industry and applicable law.
Analyzing unfavorable clauses.
Overly broad rights assignments, disproportionate exclusivities, unilateral termination clauses: a lawyer identifies and renegotiates these clauses.
Protecting the creator's interests.
The influencer must retain control over their image, their creative freedom and their commercial independence. The lawyer ensures a fair balance between the parties.

Since January 1, 2026, a written contract is mandatory when the total fees for commercial influence services exceed €1,000 excl. VAT per year and per advertiser. Below this threshold, a written contract is strongly recommended but not legally required.
Fines up to €300,000 and 2 years imprisonment. Joint liability of the influencer, brand and agent. The DGCCRF is the competent enforcement authority.
Party identification, nature of services, compensation, intellectual property rights, duration, transparency obligations, and compliance with sectoral prohibitions (cosmetic surgery, sports betting for minors, etc.).
